Online Annual Registration Report Filing Information

In order to streamline business operations, cut red tape and save money for small businesses, Secretary of State Kander offers corporations the opportunity to file annual reports online, 24 hours a day, seven days a week, with substantial cost savings.

All general business corporations, both domestic and foreign, and nonprofit corporations, may file their annual registration reports online.

MasterCard, Visa, Discover and American Express credit cards may be used for online filings.

Filing a registration report online is a step-by-step process. Each step will indicate in red what fields require information. Once a step is completed, click “Next” to move to the next step. At the end of the filing you will enter your credit card information over a secure connection. Once you submit your filing and it has been approved, an invoice will be displayed indicating your filing was sent and paid. You may print a copy of the invoice.

Please note the following requirements for online annual registration reports:

General Business (for-profit) Corporations

• Officers – At a minimum, a President and a Secretary are required and must be listed.

• Directors – At least one Director must be listed.

• Signature – The typed signature of an authorized party or an officer must be provided.

Nonprofit Corporations

• Officers – At a minimum, at least one officer must be listed.

• Directors – At least three Directors must be listed.

• Signature – The typed signature of an authorized party or an officer must be provided.

Your filing will be available for viewing on our website from the corporate entity database shortly after completing your report online.

By filing your annual report online, next year's annual report will be pre-populated with the information you filed online this year. Next year you may edit online the pre-populated information or file without changes.

You may change the registered agent office address with your online filing, but if you wish to change the actual registered agent on record, you will need to file a paper annual registration report, along with a written authorization from the new registered agent. The paper annual registration report may be obtained for your corporation from our web site.
