Secretary Hoskins Takes Administrative Action Against Noncompliant Entity Near Whiteman Air Force Base
JEFFERSON CITY, MO. — The Missouri Secretary of State’s Office has initiated the administrative cancellation of Property Solutions 3603 LP after the limited partnership failed to maintain a compliant registered agent in Missouri, as required by state law.
Following a routine compliance review, the Secretary of State’s Business Services Division determined that the entity’s registered agent information on file was inaccurate and did not meet statutory requirements. On November 13, 2025, the Office formally notified the registered agent and provided 60 days to correct the deficiency. As of today, no corrective filing has been made.
Under Missouri law, every limited partnership must continuously maintain a registered agent with a physical address in the state where the agent can be contacted during normal business hours. A post office box or commercial mail receiving agency alone does not satisfy this requirement. See Sections 347.030, 347.183, 351.370, 355.161, and 351.484, RSMo.
Because the entity failed to cure the defect within the statutory timeframe, the Secretary of State is proceeding with administrative cancellation in accordance with Missouri law.
“Operating a compliant business in Missouri is not hard,” said Missouri Secretary of State Denny Hoskins. “The rules are clear, the process is straightforward, and millions of businesses successfully meet these requirements every year. When an entity fails to do so—especially after notice and ample opportunity to correct the issue—Missouri law requires action.”
The Secretary emphasized that administrative cancellations are routine and occur regularly when entities fail to meet basic statutory obligations. However, this particular action has drawn public attention due to the location of the property near Whiteman Air Force Base and broader national security concerns raised publicly by federal officials and members of Congress.
“Missouri is proud to be open for business—but only for compliant businesses,” Hoskins said. “We do not ignore noncompliance, and we certainly do not take lightly suspicious or opaque business interests operating near our proud military installations. Transparency and accountability are not optional in Missouri.”
The Missouri Secretary of State’s Office does not investigate criminal activity or make national security determinations, but it does have a clear legal responsibility to ensure that entities registered in Missouri comply with statutory requirements. Maintaining a registered agent ensures that businesses can be lawfully contacted, served with legal process, and held accountable.
“This action is about compliance with Missouri law—nothing more and nothing less,” Hoskins added. “If an entity wants the benefits of doing business in Missouri, it must also accept the responsibilities. That principle applies equally to every business, regardless of size, ownership, or location.”
Entities that are administratively cancelled may seek reinstatement only by correcting all deficiencies and complying fully with Missouri law.
